Charges and Payments
a) Visit or call at our sales office to know about rates of our products and services. Rates may vary or fluctuate or certain discount may apply to an event on fulfillment of certain conditions or in case of a returning/regular client.
b) The rates are based on average product items, details of such can be known from our sales office. If the work required is intense and requires additional extra amount of time, certain additional charges may apply. Such decision will be carried out by Panacea after requirement analysis.
c) K stands for 1000, eg. 10K = 10,000
Quotations
A Custom quotation not accepted within 15 days may be changed. Prices on standard products are subject to change at any time without notice.
Accuracy of Specifications
Quotations are based on the accuracy of the specifications provided. Panacea can re-quote a job at the time of submission if the specifications do not conform to the original information on which the quote was based. Quotation along with requirements may be attached to this Order Form. Deviation from original specifications or additions will be charged extra ($50 per hour of work or as per decision by Panacea).
Payment Schedule
All orders above $200 (for less - 100% non-refundable advance) will be initiated after 50% in advance (non-refundable) rounded off to the next 1000th digit, 40% to be paid upon delivery of the project and 10% on finalization of revisions (at most 2). Credit card payments are subject to a 4% surcharge. (Full payment is required in advance if paying by credit card).
Invoice/Bill & Return Charge
Our payment terms are 7 days, payment must be made by check or cash and delivered to our premises unless otherwise agreed. Any payment returned by the bank will incur a $15 administration charge. This will be invoiced and will be added to the total outstanding debt owed by the customer. Late payments will be charged surcharge at our rate of 15%.
Travel Time and Expenses
We will visit any premises closest to our office(s) free of charge for a no obligation consultation. Any further visit may be charged at our mileage rate of 30 pence per mile return at our discretion. Any additional meeting time of the web development project will be included in the initial quoted price, the client will not be charged any extra. Any time spend on any other job, for example computer setup/repair may be charged at our hourly rate of $30 Per Hour at out discretion.
Completion Dates & Rush Charges
All projects will be completed ASAP, as the process allows. All content and materials that are needed must be provided to Panacea before a timeline can be issued. If you need a firm due date, we can note it in your contract, however RUSH fees may apply. Rush charges vary with each project and the amount of time allotted, ranging from 25-200%.
Late & Legal Fees
Legal fees and late fees are applied monthly to all bills 30 days past due. Late fees are 15% of the total outstanding, and are applied monthly until account is paid in full. In case any legal action is deemed necessary for recovery of a debt or pending dues, Panacea reserves full right to recover from the client in default, legal fee plus a surcharge of 15% of the amount due per month as damages.
Taxes
The Client shall be responsible to pay all Government Taxes/Levis/Duties etc. (if any) with respect to the contract of services.
Refund & Cancellation Policy
All sales are final. No refunds are available. Cancellations will result in your incurring any charges for design, labor and materials up to the point when we received your written notification. If the job is already done by this time, you are liable for the full cost.
Force Majeure
In case of war, earth quake or any natural disaster or any other cause that renders Panacea unable to carry-out/perform its operations in any way, on notice by Panacea the contract will be considered void and client will pay up to the work done.
Time Frame
Time frame means the time required by Panacea for provision of services as detailed in the attached ANNEX - Time Frame, wherever applicable. Panacea will do its best to meet the deadline for delivering the products, however, national holidays, natural disasters, earth quakes or any other factor can cause the delay. In such case Panacea will not be liable for any damages incurred to its client for such delay.
Testimonial Form
Client will be asked to fill up a Testimonial Form at the time of completion of task in order to know about current performance and for any future suggestions for betterment. Client’s Testimonial will be used along with the snapshot or description of the products delivered and Panacea reserves the right to publish this information on its website or promotional items. However a request to maintain the privacy can be entertained.
Dispute Resolution and Governing Law
In case of any dispute/conflict arising between the parties with respect to this contract or any transaction accruing as result of this contract, the same shall be referred to management committee and the decision of the committee shall be considered as final. Moreover in case any dispute is taken to the court, the same shall be taken before the Courts in Rawalpindi or Islamabad and to no other Courts. This Contract shall be governed by the laws of the Islamic Republic of Pakistan.

Selection of Design
A Free Tour of our Design Library consisting of numerous designs pertaining to several business sectors is given to prospective clients for their selection.
Changing Selection
Clients are advised to select their design after careful thought because once a selection has been made along with the signing of the Order Form, customization work starts immediately and any requests to select a complete new design will incur extra charge up to the amount of work done on the project selected earlier.
Content Provision
Content provision is clients’ responsibility unless “Content Writing Service” is included in the package. Panacea reserves the right to do any amendments as it sees fit keeping in view the look and design of the product and will communicate or brainstorm it with the client.
Delay in Content Provision
Maximum time period allocated to design projects are communicated to Client. In case of expiration of time limit due to delay by Client in content provision, an Invoice/Bill will be generated. Panacea will be paid in full and will not be responsible for completion of the project.
Content Writing Service
Additional costs will apply if client wishes Panacea to do the write-up.
Custom Work
Custom work requires development from scratch and are quoted separately from our defined pre-made packages.
Custom Work Revisions
Panacea will provide the Client with an opportunity to review the appearance and content of Custom Work developed. Any request for alterations should be made within a period of two weeks (at maximum) or client can request for a redesign of the Custom Work for one time only. Such materials will be deemed to be accepted and approved at the expiry of two weeks. Alterations requested after this time will be charged for as extras, in addition to charges for any work completed up to the date such a request was received by Panacea.
Custom Work Redesign
In case of Redesign, Panacea will again provide the Client with an opportunity to review the appearance and content within a period of two weeks (at maximum), however, Client cannot ask again for a redesign after this time. At the end client will still have the option of choosing either of two designs presented or else the redesign will be considered final and an Invoice/Bill will be generated. Panacea reserves all rights to the fullest use of the design not so selected.
Credits
Panacea reserves the right to place its logo, company name or website address or any other identity item at an appropriate place on the design and print products delivered and cannot be removed by client either temporarily or permanently.
Proprietary Rights
Panacea reserves the rights to the Animation, Graphics and any other source files developed in the process and will only deliver the files necessary for the output medium besides usage right. |
Demonstration
Panacea will initially place the client’s website on one of Panacea’s demonstration servers during in order that the client may view and comment upon the website’s progress. When both Panacea and the client agree that the website meets the criteria agreed during the commissioning process, Panacea will invoice the client for the full amount due for the commission. On receipt of payment, Panacea will publish the website on the client’s server, or provide the source code for the site via a download (or cd-rom disk) for the client to upload.
Development
This Web Design Project will be developed using Adobe® Dreamweaver.
Compatibility
Designing a web site to fully work in multiple browsers (and browser versions) can require considerable, extra effort. It could also involve creating multiple versions of code/pages. Panacea represents and warrants that the web site we design for you will work in the following at a screen resolution of 800 x 600 and above:
• Microsoft® Internet Explorer versions 5 and up
• Netscape Navigator/Communicator version 4 and up
• Mozilla Firefox version 1.0 and up
While Panacea will make reasonable efforts to design a fully-functional web site, Panacea’s warranty does not cover AOL, text-based browsers or requested special effects that we have advised you against.
For People with Disabilities
Panacea’s standard is to meet at least half the currently recommended guidelines for web site development. Without sacrificing quality and design, we try to ensure that the content and functions we build into our web sites are available to all visitors.
Support
This agreement allows for minor web site maintenance to pages up to 6 months after delivery of your web site at no charge, up to an average of one hour per regular web site per month, including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guestbooks, discussion webs, navigation structure changes, attempted updates by Client repairs or Web Shots Projects delivered to Client via diskette, postal mail and e-mail. The period begins on the date the Client’s web site is available online. Major page code and/or graphics changes and additions will be charged at the $50.00 per hour rate. (Notice: This rate is subject to change at any time – minimum charge also $50 for any update request.)
Electronic Commerce Laws
The Client agrees that the Client is solely responsible for complying with any laws, taxes, and tariffs applicable in any way to the Web Shots Project or any other services contemplated herein, and will hold harmless, protect, and defend Panacea and its subcontractors from any claim, suit, penalty, tax, fine, penalty, or tariff arising from the Client’s exercise of Internet electronic commerce and/or any failure to comply with any such laws, taxes, and tariffs.
Legal Notice
Notwithstanding anything to the contrary contained in this contract, neither Panacea nor any of its employees or agents, warrants that the functions contained in the Web Shots Project will be uninterrupted or error-free. The entire risk as to the quality and performance of the Web Shots Project is with the Client. In no event will Panacea be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God, the Hosting Service or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Web Shots Project, failure of any service provider, of any telecommunications carrier, of the Internet backbone, of any Internet servers, your or your site visitor’s computer or Internet software, even if Panacea has been advised of the possibility of such damages.
Default
Accounts unpaid fifteen (15) days after the date of invoice will be considered in default. If the Customer in default maintains any information or files on Web space, Panacea will, at its discretion, remove all such material from its web space. Panacea is not responsible for any loss of data incurred due to the removal of the service. Removal of such material does not relieve the Customer of the obligation to pay any outstanding charges assessed to the Customer’s account. Checks returned for insufficient funds will be assessed a return charge and the Customer’s account will immediately be considered to be in default until full payment is received. Customers with accounts in default agree to pay Panacea’s reasonable expenses, including legal fees and costs for collection by third-party agencies, incurred by Panacea in enforcing these Terms and Conditions.
Search Engine Optimization
Should the client require the site to be promoted on an ongoing basis a separate contract must be agreed. The order in which websites are ranked in the natural search results is controlled by the search engines. While we can optimize your site for this we are unable to make any guarantees about the success of any search engine promotion activity.
Website Maintenance Service - (WMS)
Website Maintenance Service includes publication of news reports, press releases, current events, schedule of events, etc. and may include text changes, addition of graphics/photos, simple layout and navigational changes, addition of new pages following the current web theme and upload of pages and/or site to the web host.
Website Maintenance Service is rendered twice a week on 3 months, 6 months, yearly or regular basis (in case of regular services a one month written notice would be required from either party for termination of services) and is mentioned on the Order Form along with the tenure if included. Client has to pay 100% advance for each month’s service. Website Design and Accessories are given to Client free of charge for use only whereas Panacea reserves all other rights, and the ownership of above shall be given to the Client upon completion of contract with full payment of contractual amount otherwise it shall be retained solely by the Panacea.
The information contained within the web pages shall be authored and submitted by the Client to Panacea in FINAL format to be updated within two working days. Panacea may charge the client for additional time needed to correct spelling, grammatical, syntax errors, etc., and shall not be responsible for any delay in updating the content.
Panacea may make recommendations regarding the content of the web pages, however the final approval and decision with respect to the content of the Web pages shall be made by the Client and communicated to the Panacea without any delay caused by such activity. |
